TERMS OF SERVICE

IMPORTANT – PLEASE READ CAREFULLY. This Terms of Service agreement (“Agreement” or “Terms”) is a legally binding contract between you and Thrifter, Inc. (“Thrifter,” “we,” “us,” or “our”). By accessing or using the Thrifter platform, website, mobile application, or any related services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, do not use the Services.

THIS AGREEMENT CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER (Section 18) THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY.

1. Definitions

“Buyer” means any registered user who submits an Offer to purchase an Item or Bundle through the Services.

“Seller” means any registered user who lists Items for sale through the Services.

“Item” means any thrifted, secondhand, vintage, or pre-owned good listed for sale on the platform.

“Bundle” means two or more Items from the same Seller that a Buyer may purchase together under a single Offer.

“Offer” means a binding proposal submitted by a Buyer to purchase an Item or Bundle at a specified price, which, upon acceptance by the Seller, creates a legally binding purchase agreement between the Buyer and Seller.

“Transaction” means the completed purchase of an Item or Bundle, from Offer acceptance through final payment capture and delivery.

“Platform Fee” means the service fee charged by Thrifter on each completed Transaction, as described in Section 9.

“Payment Processor” means Whop Payments LLC and its affiliates, which provide payment processing services for Transactions on the platform.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Services. By creating an account, you represent and warrant that you meet this age requirement. If you are under 18, a parent or legal guardian must accept these Terms and create an account on your behalf.

2.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep your information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2.3 Identity Verification

We may require identity verification through our Payment Processor (Whop) or other means to comply with applicable Know Your Customer (KYC) and anti-money laundering (AML) regulations. Sellers must complete KYC verification before receiving payouts. By using the Services, you consent to Thrifter and Whop collecting and processing the information needed for identity verification.

2.4 One Account Per Person

Each individual may maintain only one account. Operating multiple accounts is prohibited and may result in immediate suspension or termination.

3. Role of Thrifter

3.1 Marketplace Facilitator

Thrifter is a platform that facilitates transactions between Buyers and Sellers. Thrifter is not a party to any transaction between Buyers and Sellers. We do not own, possess, inspect, authenticate, or control the Items listed on the platform. We do not guarantee the quality, safety, legality, or accuracy of any listing, Item, or user content.

3.2 No Agency Relationship

Nothing in these Terms creates an agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between Thrifter and any user. Sellers are independent third parties, not agents or employees of Thrifter.

3.3 No Endorsement

Thrifter does not endorse, warrant, or guarantee any Item, listing, Seller, or Buyer. User ratings, reviews, and feedback are provided by other users and do not reflect the views or endorsements of Thrifter.

4. Listings and Item Descriptions

4.1 Seller Responsibility

Sellers are solely responsible for the accuracy and completeness of their listings, including all descriptions, photographs, condition details, pricing, and any defects or flaws. Listings must accurately represent the Item as it currently exists.

4.2 Invitation to Treat

A listing on Thrifter constitutes an invitation to treat (an invitation for Buyers to submit Offers) and does not constitute a binding offer by the Seller. No binding agreement is formed until the conditions described in Section 5 are met.

4.3 Prohibited Items

Sellers may not list items that are illegal, counterfeit, stolen, hazardous, recalled, or that otherwise violate applicable law or Thrifter’s Prohibited Items Policy. Thrifter reserves the right to remove any listing at its sole discretion.

4.4 Content License

By creating a listing, you grant Thrifter a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, display, and distribute your listing content (including photographs and descriptions) in connection with operating, promoting, and improving the Services.

5. Binding Offers and Contract Formation

5.1 Nature of Offers

All Offers submitted by Buyers are binding. When you submit an Offer on an Item or Bundle, you are making a legally binding commitment to purchase that Item or Bundle at the specified price if the Seller accepts your Offer. Do not submit an Offer unless you are prepared to complete the purchase.

5.2 Contract Formation

A legally binding purchase contract is formed between the Buyer and the Seller when the Seller accepts the Buyer’s Offer. Upon acceptance, the Buyer’s payment method will be charged (or an authorization hold will be placed, as described in Section 8). The Seller is then obligated to ship the Item(s) within the timeframe specified in these Terms or their listing.

5.3 Offer Expiration

Offers expire after 48 hours unless otherwise stated. A Seller may accept, decline, or counter an Offer before it expires. Expired Offers are automatically voided and any associated payment authorization is released.

5.4 Irrevocability of Offers

Once submitted, an Offer cannot be withdrawn by the Buyer while it is pending acceptance, except as required by applicable consumer protection law. If the Seller has not yet accepted, the Buyer may request cancellation, which Thrifter may grant at its sole discretion.

5.5 Counter-Offers

If a Seller submits a counter-offer, the original Offer is deemed declined. A counter-offer is a new invitation for the Buyer to submit a revised binding Offer. A counter-offer does not create a binding agreement until the Buyer accepts and submits payment authorization.

6. Bundle Offers

6.1 Creating Bundles

Buyers may request a Bundle of multiple Items from the same Seller. Sellers may also create pre-set Bundles. Bundle pricing is subject to agreement between Buyer and Seller.

6.2 Bundle Offers Are Binding

A Bundle Offer is a single binding Offer for all Items in the Bundle. The Seller must accept or decline the Bundle Offer in its entirety; partial acceptance is not permitted unless both parties agree to modify the Bundle.

6.3 Bundle Cancellation

If any Item in a Bundle becomes unavailable after acceptance (e.g., due to damage, loss, or prior sale), the Seller must notify the Buyer and Thrifter immediately. The Buyer may choose to proceed with the remaining Items at an adjusted price or cancel the entire Bundle for a full refund.

7. Payment Processing and Whop

7.1 Payment Processor

Payment processing services for Sellers on Thrifter are provided by Whop Payments LLC and are subject to the Whop Merchant Agreement, which includes the Whop Terms of Service (collectively, the “Whop Services Agreement”). By agreeing to these Terms or continuing to operate as a Seller on Thrifter, you agree to be bound by the Whop Services Agreement, as the same may be modified by Whop from time to time. As a condition of Thrifter enabling payment processing services through Whop, you agree to provide Thrifter accurate and complete information about you and your business, and you authorize Thrifter to share it and transaction information related to your use of the payment processing services provided by Whop.

7.2 Buyer Payment Authorization

When a Buyer submits an Offer, Thrifter (through Whop) places an authorization hold on the Buyer’s payment method for the Offer amount. This authorization is not a charge; it reserves funds to ensure the Buyer can fulfill their binding commitment.

7.3 Payment Methods

Thrifter accepts payment methods as supported by Whop, which may include credit cards, debit cards, and other payment methods. You agree to keep a valid payment method on file with your account.

7.4 Whop Privacy

Your use of Whop’s services is subject to Whop’s Privacy Policy (available at https://whop.com/privacy). Thrifter is not responsible for Whop’s handling of your data beyond what is described in our Privacy Policy.

8. Payment Holds, Captures, and Cancellations

8.1 Authorization Holds (Uncaptured Payments)

When an Offer is submitted and accepted, an authorization hold is placed on the Buyer’s payment method. This hold reserves the funds but does not transfer money. Authorization holds expire after 7 days if not captured.

8.2 Payment Capture

Payment is captured (i.e., funds are actually transferred) when the Seller confirms shipment and provides valid tracking information, or upon such other trigger as Thrifter determines is appropriate. Once captured, the funds are held by Whop on behalf of Thrifter and disbursed to the Seller according to the payout schedule described in Section 9.

8.3 Cancellations

Transactions may be cancelled under the following circumstances:

  • By the Seller before shipment: If the Seller cancels, the authorization hold is released and the Buyer receives a full refund. Repeated Seller cancellations may result in account penalties or suspension.

  • By the Buyer before Seller acceptance: Subject to Thrifter’s discretion, as Offers are binding.

  • By Thrifter: Thrifter may cancel any Transaction if it suspects fraud, a policy violation, or if required by law. In such cases, any authorization hold or captured payment will be fully refunded to the Buyer.

8.4 Failed Authorizations

If an authorization hold cannot be placed (e.g., insufficient funds, expired card), the Offer is automatically voided. The Buyer may resubmit the Offer with a valid payment method.

9. Fees and Charges

9.1 Platform Fee

Thrifter charges a Platform Fee of 10% on each completed Transaction. This fee is deducted from the Seller’s payout.

9.2 Payment Processing Fees

Whop’s standard payment processing fees apply and are included in the Platform Fee.

9.3 Seller Payouts

Seller payouts are disbursed via Whop to the Seller’s linked bank account or debit card. Payouts are initiated after the Buyer confirms receipt of the Item(s) or after the automatic confirmation period expires (whichever occurs first), subject to any applicable hold periods. Standard payout timing is 3–5 business days after release of funds.

9.4 Taxes

Users are solely responsible for determining and fulfilling their tax obligations. Thrifter may collect and remit applicable sales taxes where required by law. Thrifter will issue tax forms (e.g., 1099-K) as required by applicable law.

10. Shipping and Delivery

10.1 Seller Shipping Obligations

Sellers must ship Items within 3 business days of payment capture (or the timeframe specified in their listing). Sellers must use a shipping service with tracking and delivery confirmation. For Transactions totaling $750 or more, signature confirmation is required.

10.2 Shipping Costs

Shipping costs are as indicated in the listing or as agreed between Buyer and Seller. Unless the listing states otherwise, the Buyer is responsible for shipping costs.

10.3 Risk of Loss

Risk of loss for Items passes to the Buyer upon delivery to the shipping carrier. Sellers are responsible for properly packaging Items. If an Item is lost or damaged in transit, the parties should file a claim with the shipping carrier. Thrifter may assist in dispute resolution but is not liable for shipping losses.

10.4 Delivery Confirmation

Buyers must confirm receipt of Items within 2 days of delivery. If the Buyer does not confirm or open a dispute within this period, the Transaction is automatically marked as complete and the Seller’s payout is released.

11. Returns, Refunds, and Disputes

11.1 Item Not as Described

If a Buyer receives an Item that is materially different from the listing description (“Item Not as Described” or “INAD”), the Buyer may open a dispute within 2 days of delivery. The Buyer must provide photographic evidence. If Thrifter determines the Item was not as described, the Buyer will receive a full refund (including original shipping) and the Seller must accept the return at the Seller’s expense.

11.2 No General Return Policy

Because Thrifter is a marketplace for secondhand goods with binding Offers, there is no general right of return for Items that are accurately described. Buyers are encouraged to ask questions, review photos, and request additional information before submitting an Offer. Buyer’s remorse is not grounds for a return.

11.3 Dispute Resolution

If a dispute arises between a Buyer and Seller, the parties should first attempt to resolve the matter directly. If they cannot, either party may escalate the dispute to Thrifter’s support team. Thrifter will review the evidence and make a determination at its sole discretion. Thrifter’s determination is final with respect to the Transaction on the platform but does not preclude either party from pursuing legal remedies.

11.4 Chargebacks

Buyers agree not to file chargebacks with their bank or credit card issuer for disputes that can be resolved through Thrifter’s dispute resolution process. Filing an unjustified chargeback is a violation of these Terms and may result in account suspension, collection actions, and/or legal action. Sellers are protected under Thrifter’s Seller Protection Policy for qualifying Transactions.

11.5 Refund Timing

Refunds are processed through Whop and typically appear in the Buyer’s account within 5–10 business days, depending on the Buyer’s financial institution.

12. Seller Obligations

As a Seller on Thrifter, you agree to:

  • Provide accurate, complete, and honest descriptions and photographs of all Items.

  • Ship Items promptly after payment capture and provide valid tracking information.

  • Comply with all applicable local, state, federal, and international laws regarding the sale of goods, including consumer protection laws, tax laws, and regulations regarding secondhand goods.

  • Respond to Buyer inquiries in a timely manner.

  • Accept returns for Items Not as Described in accordance with Section 11.

  • Maintain your Whop Connected Account in good standing and complete all required KYC verification.

  • Not engage in shill bidding, price manipulation, or any form of fraudulent activity.

  • Not circumvent the platform to complete transactions off-platform to avoid fees.

13. Buyer Obligations

As a Buyer on Thrifter, you agree to:

  • Only submit Offers you intend to honor. All Offers are binding commitments.

  • Maintain a valid payment method on your account sufficient to cover your Offers.

  • Confirm receipt of Items promptly upon delivery.

  • Communicate any issues with an Item through Thrifter’s dispute resolution process before initiating a chargeback.

  • Not use the platform for fraudulent purposes, including submitting Offers with the intent of filing false disputes.

  • Comply with all applicable laws regarding the purchase of secondhand goods.

14. Prohibited Conduct

Users shall not:

  • Use the Services for any illegal purpose or in violation of any applicable law.

  • List or sell counterfeit, stolen, hazardous, or recalled Items.

  • Manipulate listings, prices, feedback, ratings, or search results.

  • Harass, threaten, or abuse other users.

  • Create multiple accounts or allow others to use your account.

  • Circumvent the platform to complete transactions off-platform.

  • Interfere with or disrupt the Services or servers.

  • Scrape, harvest, or collect user data without authorization.

  • Post false, misleading, or defamatory content.

  • Use automated bots, scripts, or tools to interact with the Services without authorization.

  • Attempt to reverse-engineer, decompile, or disassemble any part of the Services.

  • Engage in money laundering or terrorism financing.

15. Intellectual Property and Content License

15.1 Thrifter’s IP

The Services, including all software, design, text, graphics, logos, and trademarks, are owned by or licensed to Thrifter and are protected by intellectual property laws. You may not use Thrifter’s IP without prior written consent.

15.2 User Content

You retain ownership of content you create (listings, photos, reviews). By posting content, you grant Thrifter a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, display, and distribute such content in connection with the Services. This license survives account termination for content that has been shared with other users or incorporated into Transactions.

15.3 DMCA / IP Infringement

Thrifter respects intellectual property rights. If you believe content on the platform infringes your IP rights, please submit a notice to official.thrifter@gmail.com in accordance with the Digital Millennium Copyright Act (DMCA). Thrifter will respond to valid notices and may remove or disable access to infringing content.

16. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.


THRIFTER DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) DEFECTS WILL BE CORRECTED; (C) THE SERVICES OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (D) ANY ITEM LISTED ON THE PLATFORM IS AUTHENTIC, LEGAL, SAFE, OR AS DESCRIBED; OR (E) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS.


YOU ACKNOWLEDGE THAT THRIFTER IS A MARKETPLACE FACILITATOR AND DOES NOT POSSESS, INSPECT, OR AUTHENTICATE ITEMS. ALL TRANSACTIONS ARE BETWEEN BUYERS AND SELLERS. YOUR USE OF THE SERVICES AND PURCHASE OF ITEMS IS AT YOUR OWN RISK.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THRIFTER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO: (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY TRANSACTION BETWEEN USERS; (C) ANY ITEM PURCHASED THROUGH THE SERVICES; (D) UNAUTHORIZED ACCESS TO YOUR ACCOUNT; OR (E) ANY THIRD-PARTY CONDUCT ON THE SERVICES.


THRIFTER’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO THRIFTER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).


SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

18. Dispute Resolution and Arbitration

18.1 Informal Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting Thrifter at official.thrifter@gmail.com. Thrifter will attempt to resolve the dispute within 30 days.

18.2 Binding Arbitration

If the dispute is not resolved informally, you and Thrifter agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, or, at your election, by telephone, online, or based on written submissions. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

18.3 Class Action Waiver

YOU AND THRIFTER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.

18.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to official.thrifter@gmail.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.

18.5 Small Claims Exception

Either party may bring an individual action in small claims court for disputes within the court’s jurisdictional limits.

19. Indemnification

You agree to defend, indemnify, and hold harmless Thrifter, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law; (d) any Transaction you participate in; (e) any content you post or submit; or (f) any dispute between you and another user.

20. Account Termination and Suspension

20.1 By You

You may close your account at any time by contacting Thrifter support. Closing your account does not relieve you of obligations for any pending Transactions or outstanding fees.

20.2 By Thrifter

Thrifter may suspend or terminate your account at any time, with or without cause, and with or without notice, including but not limited to: violation of these Terms, suspected fraud, legal or regulatory requirements, extended inactivity, or risk to other users. Upon termination, your right to use the Services immediately ceases. Any funds owed to you will be disbursed after a holding period of up to 180 days to cover potential chargebacks, refunds, or disputes.

20.3 Effect of Termination

Sections that by their nature should survive termination shall survive, including but not limited to: Sections 5 (Binding Offers), 7 (Payment Processing), 15 (IP), 16 (Disclaimer), 17 (Limitation of Liability), 18 (Arbitration), 19 (Indemnification), and this Section 20.

21. Modifications to Terms

Thrifter may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website, sending an email to your registered email address, or through an in-app notification at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and close your account before the effective date.

22. General Provisions

22.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

22.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

22.3 Waiver

Thrifter’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

22.4 Entire Agreement

These Terms, together with the Privacy Policy, Prohibited Items Policy, Fee Schedule, and any other policies referenced herein, constitute the entire agreement between you and Thrifter regarding the Services.

22.5 Assignment

You may not assign or transfer these Terms without Thrifter’s prior written consent. Thrifter may assign these Terms freely in connection with a merger, acquisition, reorganization, or sale of assets.

22.6 Force Majeure

Thrifter shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, or failures of third-party services.
